Mr Paweł Turno - Chairman of the Supervisory Board

Mr Paweł Turno (50) studied at the Poznań University of Economy and at the Adam Mickiewicz University in Poznań; he is a graduate of the Sociology Institute at the Adam Mickiewicz University in Poznań where he worked for two years as an assistant. He was one of the co-founders and in the years 1989-1997 the President of the Management Board of Emax Sp. z o.o. and in the years 1990-1994 the founder and President of AMS Sp. z o.o.

Presently, apart from the position of the Member of the Supervisory Board of the Issuer, Mr Paweł Turno holds the following functions: President of the Management Board of BB Investment S.A., Member of the Supervisory Board of Tell S.A., Member of the Supervisory Board of Public Profits sp. z o.o., Member of the Supervisory Board of BBI Zeneris NFI S.A., Member of the Supervisory Board of BBI Capital NFI SA. Mr. Paweł Turno is a member of the Polish Landowners Association, Domus Polonorum Association and Member of the Raczyński Library Fund in Poznań.

Furthermore Mr Paweł Turno is currently one of the major shareholders of BB Investment S.A. (the company being one of the significant shareholders of the Issuer) and a shareholder of Tell S.A., Sygnity S.A., BBI Capital NFI S.A. and BBI Zeneris NFI S.A.

The business activity conducted by Mr Paweł Turno is not of competitive nature in respect of the activity conducted for the Issuer. Mr Paweł Turno is not involved in a company competitive in respect of the Issuer as a partner of a private partnership, partnership, or as a member of capital company body, and does not participate in another competitive legal person as a member of its body.

Mr Paweł Turno has not been entered in to the register of insolvent debtors of the National Court Register.

Mr Włodzimierz Głowacki – Vice Chairman of the Supervisory Board

Mr Włodzimierz Głowacki (42) is a legal counsel, a graduate of the Faculty of Law and Administration of the Adam Mickiewicz University in Poznań. He passed the legal counsels’ examination in 1997. He is a member of the District Chamber of Legal Counsels in Poznań. In the years 1994-2000 he was an Assistant at the Chair of Civil, Commercial and Insurance Law of the Faculty of Law and Administration at the Adam Mickiewicz University in Poznań. In the years 1996-2003 Mr Włodzimierz Głowacki was a co-founder and partner of a law office operating under the business name “Głowacki, Grynhoff, Hałaziński, Woźny Spółka komandytowa” with its registered office in Poznań. From May 2003 he ran his own law office. Since January 2008 he has held the position of a legal counsel at Włodzimierz Głowacki i Wspólnicy sp. k.

Currently, apart from being a member of the Supervisory Board of the Issuer, Mr Włodzimierz Głowacki holds the following functions: member of the Supervisory Board of Wielkopolska Telewizja Kablowa sp. z o.o., member of the Supervisory Board of INEA S.A., member of the Supervisory Board of HFC Systems sp. z o.o., member of the Supervisory Board of Komputronik S.A.

Mr Włodzimierz Głowacki is a partner (shareholder) of the following commercial companies: Włodzimierz Głowacki i Wspólnicy sp. k. ,Włodzimierz Głowacki, Agnieszka Pokora-Głowacka City Center House spółka cywilna, INEA S.A., Accessory Business Services sp. z o.o.

The business activity conducted by Mr Włodzimierz Głowacki is not of competitive nature in respect of the activity conducted for the Issuer. Mr Włodzimierz Głowacki is not involved in a company competitive in respect of the Issuer as a partner of a private partnership, partnership, or as a member of capital company body, and does not participate in another competitive legal person as a member of its body.

Mr Włodzimiesz Głowacki has not been entered into the register of insolvent debtors of the National Court Register.

Mr Michał Kurzyński- Member of the Supervisory Board

Mr Michał Kurzyński (37) is a graduate of the Faculty of Law and Administration of the University of Warsaw. He was awarded his master’s degree in law in 1997, and in 2003 he became a legal counsel with the District Chamber of Legal Counsels in Warsaw. He started his professional practice in 1994 at the law firm Dickinson, Wright, Moon, van Dusen & Freeman Sp. z o.o., and from 1996 to 2002 he worked for Baker & McKenzie Sp. z o.o. as a lawyer in the M&A team. In the years 2002 to October 2008 he cooperated with Wierzbowski Eversheds s.k. where he was the head of the M&A and Real Estate team. Since November 2008 he has been cooperating with the Warsaw office of Chadbourne&Parke LLP - Radzikowski, Szubielska i Wspólnicy sp.k. where he holds the function of an international partner responsible for Infrastructure and Public and Private Partnership. In the course of his professional practice Mr Michał Kurzyński has provided legal services for numerous business entities, in particular foreign investors, within the scope of civil, commercial and competition law. His specialisation includes, but is not limited to: legal consultancy as regards mergers and takeovers of companies, capital transactions, transactions pertaining to real estate, legal analyses of companies and real estate, holding negotiations and participating in negotiations, carrying out privatisation of companies, drawing up draft contracts and other transaction-related documents. Currently, Mr Michał Kurzyński specialises in projects related to infrastructure, in particular those in which models assuming cooperation between public and private partners are used.

At present, apart from being a member of Mr Michał Kurzyński holds the aforesaid function of the Infrastructure and Public and Private Partnership team leader at Chadbourne&Parke LLP where he provides services within the scope of legal consultancy. Furthermore, he is a member of the Board of Centrum PPP Foundation with its registered office in Warsaw.

The business activity conducted by Mr Michał Kurzyński is not of competitive nature in respect of the activity conducted for the Issuer. Mr Michał Kurzyński is not involved in a company competitive in respect of the Issuer as a partner of a private partnership, partnership, or as a member of capital company body, and does not participate in another competitive legal person as a member of its body.

Mr Ewaryst Zagajewski - Member of the Supervisory Board

Mr Ewaryst Zagajewski (50) is a graduate of the University of Łódź and the Technical University of Łódź. He holds licences to practise as a securities broker, adviser on public trading in securities; furthermore, he holds a state-issued licence of real estate appraiser. In the years 1991-1993 he conducted business activity in the scope of real estate trading and commercial intermediation and in the period of 1994-1995 he headed the Investment Consultancy Team at Bank Przemysłowy S.A. In the years 1995-1997 he held the position of a Licensed Consultant with BM Bank Rozwoju Eksportu BRE BROKERS. Between 1997 and 1998 he was the Head of Asset Management Department of Dom Maklerski BMT. From 1998 to 2005 he was the Investment Office Director at PKO/Handlowy Powszechne Towarzystwo Emerytalne S.A. Currently, he is mainly involved in consultancy and property appraisal activity conducted in the auspices of Niezależni Eksperci Majątkowi Spółka Akcyjna S.K.A.

Mr Ewaryst Zagajewski is a partner of the following commercial companies: ADEZET sp. z o.o.; BTR Invest I Sp. z o.o. Mr Rafał Lorek - Member of the Supervisory Board

Mr Rafał Lorek (39) is a graduate of the Faculty of Finance and Banking at the Warsaw School of Economics. He also completed doctoral studies at the College of Management and Finance in the auspices of the Warsaw School of Economics. He is a licensed Securities broker. In the years 1995-1997 he was employed with Bank Handlowy in Warsaw in the position of a stock broker. Between 1998 and 2000 he worked for Societe Generale Securities Polska S.A. as a securities broker. In the years 2000-2001 he served as the Account Manager with CA IB Investment Management S.A. and then in the period from 2001 to 2005 as the Deputy Director of the Account Managers Team of the said company Between August of 2005 and June of 2007 he served as the Senior Wealth Manager with Citibank Polska S.A. From July of 2007 to October of 2008 Mr. Lorek worked for Bank Sal. Oppenheim Jr. & CIE Austria AG as the Vice President Private Banking. Since November 2008 he has been running his own business activity under the business name “R.S.P. LOREK Rafał Lorek” in Warsaw. Since June 2010 he has been the President of the Management Board of Lorek Pawlak i Wspólnicy sp. z o.o.

Apart from his membership in the Supervisory Board of the Issuer, Mr Rafał Lorek is a member of the Supervisory Board of BBI Capital NFI S.A., Automotive Components Europe S.A., Grupa Lotos S.A., and holds the position of the President of the Management Board of Lorek Pawlak i Wspólnicy Sp. z o.o. Mr Rafał Lorek is a partner of Lorek Pawlak i Wspólnicy Sp. z o.o.

The business activity conducted by Mr Rafał Lorek is not of competitive nature in respect of the activity conducted for the Issuer. Mr Rafał Lorek is not involved in a company competitive in respect of the Issuer as a partner of a private partnership, partnership, or as a member of capital company body, and does not participate in another competitive legal person as a member of its body.

Mr Jan Emeryk Rościszewski - Member of the Supervisory Board

Mr Jan Emeryk Rościszewski (46) obtained a Master’s degree in history and is a graduate of the Faculty of Humanities of the Catholic University of Lublin. In 1990 he obtained an MAS diploma from the Institut d’ Etudes Politiques de Paris, and in 1997 he passed the examination and qualified as an insurance broker. Mr Jan Emeryk Rościszewski completed numerous courses in finance, insurance and management in France, Great Britain and Poland. In the years 1993-1996 he held the position of the Director and member of the Management Board of Azur Życie S.A. and Azur Ostoja S.A. insurance companies. In the years 1996-1997 he worked as an insurance broker for Cardif Polska S.A. Since 1997 he has been the Group Leader of BNP Paribas Assurance in Poland; since 1998 he has been the President of the Management Board of Cardif Polska Towarzystwo Ubezpieczeń na Życie SA. and Director General of Cardif Assurances Risques Divers, Main Branch in Poland. Currently, apart from being a member of the Supervisory Board of the Issuer, Mr Jan Emeryk Rościszewski holds the following functions: President of the Management Board of Towarzystwo Ubezpieczeń na Życie Cardif Polska S.A.; Cardif President of the Management Board of Cardif Services sp. z o.o.; Member of the Supervisory Board of Powszechne Towarzystwo Emerytalne “Pocztylion-Arka” S.A., Member of the Supervisory Board of Pocztowa Agencja Usług Finansowych S.A.

Mr Jan Emeryk Rościszewski is a partner (shareholder) of the following commercial companies: Mazowieckie Towarzystwo Powiernicze sp. z o.o.; Serenus sp. z o.o.; Mazowieckie Towarzystwo Powiernicze sp. z o.o. Projekt Developerski 1 S.K.A.

Mr Jan Emeryk Rościszewski conducts business activity under the business name Senatorska s.c. The business activity focuses mainly on legal issues and consultancy in matters related to business activity and management.
